Global Markets Lawyer
A very interesting opportunity has arisen at a Multinational Investment Bank. They are looking for a Lawyer to join them on a 4 month assignment based in London. This role sits with the Strategic Equity, Equity Derivatives & Global Markets line of business.
-A temporary position exists for a lawyer to fill a mid-level role in the Equity Derivatives and QIS London Legal Team, reporting to the head of the team.
-The successful applicant will be primarily responsible for providing legal structuring, advisory and transaction execution support to the London Strategic Equity platform in order to assist the Strategic Equity business team within the Equity Derivatives Global Business Line to achieve their objectives, whilst effectively identifying and managing legal risk.
-The role will consist in supporting the London-based Strategic Equity team and the jurisdictions it covers (UK, Portugal, Spain, Italy, Eastern Europe, Middle East). It may also involve supporting the US-based Strategic Equity team where structures involve a European nexus and collaborating with the Paris-based Strategic Equity team to ensure consistency of approaches throughout Europe.
-As legal advisor to the Strategic Equity business team, you will be required to provide a broad range of legal advisory and transaction management services in relation to equity-related transactions offered to large corporate and institutional clients and will be primarily responsible for:
-Analysing transactions, products and projects carried out and/or developed by the EQD Strategic Equity business team based in London and supporting the EQD Strategic Equity legal team based in Paris where necessary.
-Contributing to the design of new products by the Business.
-Ensuring the enforceability of proposed structures and related security interests.
-Identifying legal risks relating to the corresponding transactions/projects and advising the Strategic Equity business teams of the best solutions and method of implementation.
-Providing legal advice and memoranda to front officers and to members of internal committees (such as TAC, NAC and Credit Committees) on various legal and regulatory issues.
-Drafting and negotiating all transaction documentation, either directly or in collaboration with external legal counsel.
-Monitoring and analysing legal and regulatory changes and developments affecting Strategic Equity activity.
-Performing legal risk management and control, ensuring that internal legal policies and guidelines are understood and implemented.
-Sharing legal knowledge and know-how within the team and with colleagues across CIB Legal.
-Providing training to the Front Office, functions and other team members within CIB Legal on legal, regulatory and documentation issues.
-Analysis of legal risk and subsequent negotiation/drafting of documentation to the businesses’ satisfaction in order to execute transactions.
-Communication of legal analysis to other internal functions/TAC/NAC committees in order for transactions to be approved and executed.
-Provision of support to business teams in regard to the implementation of new regulations, including production of guidance memos, teach-ins and documentation review and amendments.
-Where appropriate, assisting, involving and communicating with other internal functions and other teams within the legal department, including on projects and other matters originated by them.
-Managing projects and other issues originated within CIB Legal.
-Assisting with the development of new and existing policies, guides and templates for the relevant business areas globally.
-Participating in, and actively contributing to team meetings and the work of, the global Legal Practice Group for Equity Derivatives and Prime Solutions & Financing.
-Helping to develop group team spirit through mutual support, inclusive behaviours and effective communication.
-English law-qualified lawyer with relevant practical experience gained at an international law firm or an investment bank in the Banking or Capital Market areas
-5+ years of post-qualification experience (or equivalent), either acquired in the derivative or structured finance area, at a leading financial institution or international law firm
-Experience / product knowledge in Derivatives (preferably Corporate Equity Derivatives) and Margin Loans (including LMA standard documentation)
-Technical knowledge of OTC EQD documentation, ISDA Definitions or other relevant documentation framework (loans, bonds etc.)
-Experience/product knowledge in structured complex transactions, M&A, Capital Markets or Structured Finance would be useful
-Strong academics, together with commercial acumen
-Dynamic personality with strong communication skills
-Ability to successfully manage a challenging and fast-paced environment
-Thorough and rigorous work product, with excellent drafting skills
-Pro-active, self-sufficient, independent initiative-taker
-Strong time management and prioritisation skills
-Ability to work as part of a team
